1. Acceptance of Terms
By accessing or using the ConstructSimple platform ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use the Service.
2. Description of Service
ConstructSimple provides a Software-as-a-Service (SaaS) platform designed to help contractors manage invoicing, clients, and digital workflows. We reserve the right to modify or discontinue the Service at any time.
3. Intellectual Property
Our Rights: ConstructSimple and its licensors own all rights, title, and interest in and to the Service, including source code, graphics, logos, and interfaces. These are protected by copyright and intellectual property laws.
Your Rights: You retain all rights to the data you upload or enter into the Service ("Your Data"). You grant us a worldwide, non-exclusive license to host, copy, and process Your Data solely for the purpose of providing the Service to you.
4. Accounts and Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
5. Payments and Subscriptions
Access to certain features requires a paid subscription. Fees are billed in advance and are generally non-refundable unless required by law. By providing payment information, you authorize us to charge applicable fees through our third-party payment processor (Stripe).
6. Prohibited Conduct
You agree not to:
- Use the Service for any illegal or unauthorized purpose.
- Attempt to interfere with the proper functioning of the Service or bypass security measures.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Access data of other tenants without explicit authorization.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONSTRUCTSIMPLE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS OR DATA.
8. Indemnification
You agree to indemnify and hold ConstructSimple harmless from any claims, damages, or expenses arising from your use of the Service or your breach of these terms.
9. Termination
We may suspend or terminate your access to the Service immediately, without prior notice, for breach of these terms or non-payment of fees.
10. Governing Law
These terms are governed by the laws of the Province of Quebec, Canada, without regard to its conflict of law principles.
